Terms and Conditions

1. Agreement to Terms

By accessing or using the services of Delaware Digital Design, Inc. ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.

2. Services

Delaware Digital Design, Inc. provides professional graphic design services including but not limited to logo design, brand identity development, print design, digital design, and marketing materials. The specific scope of work for each project will be outlined in a separate project proposal or contract.

3. Project Proposals and Agreements

Prior to commencing work, we will provide a detailed project proposal outlining:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing and payment schedule
• Number of revision rounds included
• Terms specific to the project

Work will begin upon written acceptance of the proposal and receipt of the required deposit.

4. Payment Terms

Unless otherwise specified in the project proposal:

• A 50% deposit is required before work begins
• The remaining balance is due upon project completion, before final files are delivered
• Payments are due within 15 days of invoice date
• Late payments may incur a 1.5% monthly interest charge

We accept major credit cards, checks, and bank transfers.

5. Revisions and Changes

All projects include a specified number of revision rounds as outlined in the project proposal. Revisions within scope are included in the project fee. Requests that fall outside the original scope of work or exceed the included revision rounds may incur additional charges, which will be communicated before proceeding.

6. Intellectual Property Rights

Upon full payment of all project fees:

• You will receive full ownership rights to the final approved designs
• We retain the right to display the work in our portfolio and marketing materials
• Preliminary concepts and rejected designs remain our property
• Third-party elements (stock images, fonts) may have separate licensing requirements

7. Client Responsibilities

To ensure timely project completion, clients are responsible for:

• Providing all necessary materials, information, and feedback in a timely manner
• Designating a single point of contact for project communications
• Reviewing deliverables and providing consolidated feedback
• Ensuring all provided materials do not infringe on third-party rights

8. Project Delays

We strive to meet all project deadlines. However, timelines may be affected by delays in client feedback or material delivery. We will communicate any timeline changes and work with you to minimize impact. Extended delays caused by the client may result in project re-scheduling fees.

9. Cancellation

Either party may cancel a project with written notice. In the event of cancellation, you will be invoiced for all work completed up to the cancellation date. Deposits are non-refundable but will be applied to work completed. See our separate Refund Policy for additional details.

10. Confidentiality

We agree to keep all client information, materials, and project details confidential. We will not share your proprietary information with third parties without your consent, except as necessary to complete the project (e.g., print vendors with your approval).

11. Limitation of Liability

Our liability for any claim arising from our services shall not exceed the total fees paid for the specific project in question. We are not liable for any indirect, incidental, or consequential damages arising from the use of our designs or services.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware. Any disputes shall be resolved in the courts of New Castle County, Delaware.

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of any modifications.
